Denning Rodriguez is a fashion, luxury goods and media attorney who focuses his practice on handling broad-based corporate transactions for clients in the entertainment media and fashion industries. Denning serves as a legal advisor and consultant to prominent individuals and companies in creative fields, including creative directors, designers, photographers and executives of European and American fashion and luxury goods companies, as well as prominent models and agents.

Corporate/Mergers & Acquisitions/Private Equity/Venture Capital/Securities:
Counsel privately held, public companies and start-ups, globally, on: (i) public and private offerings of equity (preferred and common), debt and equity (convertible preferred, convertible debt and warrants) securities; (ii) tender offers, consent solicitations and exchange offers; (iii) syndicated and single lender revolving and term loan facilities and asset-backed lending facilities; and (iv) mergers, acquisitions and dispositions. Responsibilities include: (i) counseling business owners/corporations regarding growth opportunities and planning disposition/exit strategies; (ii) drafting, negotiating and finalizing purchase and sale agreements and ancillary documents such as disclosure schedules, employment agreements, license agreements, guarantees and financing documents; (iii) managing and conducting due diligence process for acquisitions and dispositions; and (iv) advising on various general corporate matters including entity formation, tax issues (including transfer pricing and cross-border) and corporate governance and compliance. Deal transactions ranged from $100,000 to $800 million+.
Business and Strategy Consulting:
Counseled and advised businesses in successful long-term planning and decision-making, acted as CEO, COO, and business advisor to over 100 startup, mid-cap, and international brands. Representative engagements have included: (i) design comprehensive business plan development and strategy; (ii) strategy and implementation of launch, expansion, and turnaround initiatives; (iii) perform in-depth analysis of licensing, joint ventures, private equity, M&A matters; (iv) corporate formation; (v) corporate, financial, investor due diligence; (vi) financial modeling and strategy; (vii) wholesale, retail, e-commerce development; (viii) quantitative and qualitative markets analysis and strategies; (ix) financing (private offering presentations and memorandums, Seed, Series A-D offerings, alternative financing vehicles); (x) operations and management; (xi) talent acquisition; (xii) logistics strategy and planning; and (xiii) branding.
